Terms of Use

1. Agreement to Terms

These Terms of Use constitute a legally binding agreement between you and Niklas Ekman Solutions, organization number 900625-0790, registered at Skinnaråsvägen 28, 19275 Sollentuna, Sweden ("Mindpad," "we," "us," or "our") concerning your access to and use of the Mindpad service, including our website, applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Mindpad is an end-to-end encrypted note-taking application. All notes are encrypted on your device using Ed25519 asymmetric encryption before being transmitted to our servers. Your encryption key is stored locally on your device in memory only and never leaves your device. We store your encrypted private key in our cloud infrastructure, but we cannot decrypt it because we do not have access to your encryption key. We cannot decrypt, access, or read your notes under any circumstances.

3. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Account Registration

To use the Service, you must create an account by providing a valid email address. We use passwordless authentication through our identity provider, Logto. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Encryption and Data Security

5.1 Your Responsibilities

You are solely responsible for:

  • Creating a sufficiently strong encryption key to protect your data
  • Maintaining the security and confidentiality of your encryption key
  • Ensuring you do not lose or forget your encryption key
  • Understanding that if you lose your encryption key, your notes are permanently and irretrievably lost

Warning About Key Strength: The security of your encrypted data depends entirely on the strength of your encryption key. While our user interface guides you in creating a strong key, you are ultimately responsible for choosing a key that is resistant to brute force attacks. Weak or easily guessable keys may be vulnerable to brute force decryption attempts by unauthorized third parties. We strongly recommend using a long, complex, and unique key.

5.2 Our Limitations

Due to the end-to-end encryption design of the Service:

  • We cannot recover, reset, or provide access to your notes if you lose your encryption key
  • We cannot decrypt your notes or encrypted private key under any circumstances, including by court order or legal request
  • We have no ability to access the content of your notes
  • We cannot prevent brute force attacks on weak encryption keys chosen by users

You acknowledge and accept these limitations as fundamental features of the Service's security model.

6. Subscription and Payment

6.1 Subscription Plans

The Service is provided on a subscription basis. Subscription fees, billing cycles, and payment terms are as displayed in the Service at the time of purchase.

6.2 Payment Processing

All payments are processed by Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record. By subscribing, you agree to Paddle's Terms of Service and Privacy Policy. We do not store or process your payment information.

6.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

6.4 Refunds

Refund requests are handled by Paddle in accordance with their refund policy. We do not directly process refunds.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to bypass, disable, or interfere with the security features of the Service
  • Attempt to reverse engineer, decompile, or discover the source code of the Service
  • Use the Service to store or transmit malicious code, viruses, or harmful data
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of the Service

8. Account Termination

8.1 Termination by You

You may terminate your account at any time through your account settings. Upon termination, all your data, including encrypted notes and account information, will be permanently deleted.

8.2 Termination by Us

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

8.3 Inactive Accounts

Accounts that remain inactive for 18 consecutive months will be scheduled for deletion. We will send notifications to your registered email address at the following intervals before deletion:

  • 6 months before deletion (after 12 months of inactivity)
  • 3 months before deletion (after 15 months of inactivity)
  • 1 month before deletion (after 17 months of inactivity)

If you do not log in before the final deletion date, your account and all associated data will be permanently deleted.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Mindpad and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT YOUR DATA WILL BE RECOVERABLE IF YOU LOSE YOUR ENCRYPTION KEY, OR THAT YOUR ENCRYPTED DATA WILL BE PROTECTED AGAINST BRUTE FORCE ATTACKS IF YOU CHOOSE A WEAK ENCRYPTION KEY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINDPAD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.


THIS INCLUDES BUT IS NOT LIMITED TO DAMAGES RESULTING FROM: YOUR USE OR INABILITY TO USE THE SERVICE; LOSS OF DATA INCLUDING NOTES RESULTING FROM LOST OR FORGOTTEN ENCRYPTION KEYS; UNAUTHORIZED ACCESS TO YOUR DATA; DATA BREACHES (PROVIDED WE HAVE IMPLEMENTED REASONABLE SECURITY MEASURES); SUCCESSFUL BRUTE FORCE ATTACKS RESULTING FROM WEAK ENCRYPTION KEYS; OR ANY COMPROMISE OF YOUR DATA DUE TO INSUFFICIENT KEY STRENGTH.


IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO MINDPAD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Mindpad and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Data Export

You may export all your data at any time through the Service's export functionality. The export is provided as a ZIP file containing:

  • Your public encryption key
  • Your encrypted private key (encrypted with your encryption key)
  • JSON files containing your encrypted notes (one file per note)
  • A JSON object with metadata

Your exported notes can only be decrypted using your encryption key, which you must remember and store securely. We recommend regularly exporting your data as a backup measure.

14. Don't Be Evil

In homage to a certain big company who once championed this principle before quietly removing it, we commit to not being evil.

Definitions: "Evil" includes: (i) selling your data (we can't — it's encrypted); (ii) training AI models on your notes (again, encrypted); (iii) dark patterns to trick you into unwanted subscriptions (our model is simple: you pay, we host encrypted blobs); or (iv) reading your notes to settle debates about whether pineapple belongs on pizza (your notes remain forever unread, though we have strong opinions on the pineapple question).

Enforceability: To be determined in the court of public opinion.

Remedies: Should we violate this covenant, you may shame us relentlessly on social media until we return to our non-evil ways.

Cross our hearts, pinky swear, legally binding and all that.

15. Modifications to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use after the effective date constitutes acceptance of the changes.

16. Modifications to Service

We may modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable for any modification, suspension, or discontinuation.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Sweden.

18. Dispute Resolution

Before initiating formal legal proceedings, please contact us at niklas@niklasekman.solutions to seek informal resolution. In accordance with EU Regulation 524/2013, consumers in the European Union may use the European Commission's Online Dispute Resolution (ODR) platform.

19. General Provisions

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. No waiver of any term shall be deemed a continuing waiver, and our failure to assert any right shall not constitute a waiver of such right. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mindpad regarding the Service.
